Summary: Struxify Inventory & PO calculates sales velocity, reorder points and order suggestionsexclusively from the Merchant's Shopify data and settings (inventory, sales, lead times, minimum quantities). The app orders nothing by itself and changes neither inventory nor prices in the shop. Purchase orders to suppliers are triggered by the Merchant, who is responsible for quantities, prices and purchasing decisions.

1. Scope and contracting party

These terms apply to the use of the Shopify app “Struxify Inventory & PO” by merchants (the “Merchant”). Provider and contracting party is Struxify — Inh. Dávid-Dennis Warning, Bürgermeister-Steenbock-Straße 21 a, 24558 Henstedt-Ulzburg, Deutschland (the “Provider”). The app is aimed exclusively at businesses within the meaning of § 14 BGB (German Civil Code); contracts with consumers (§ 13 BGB) are excluded. Shopify's terms for the app ecosystem apply in addition.

2. Description of services

  1. The app reads the active product variants (title, SKU, inventory, price, cost) from the Merchant's shop as well as the line items of the orders of the last up to 90 days (60 days without the “read all orders” permission that Shopify grants separately; item, quantity, date) and derives the sales velocity per item.
  2. Reorder point and order suggestion: From velocity, the lead time, safety days, minimum order quantity and pack size entered by the Merchant, the app calculates per item a reorder point, the days of coverage and a suggested quantity. These values are calculation results, not commercial advice.
  3. Suppliers and purchase orders: The Merchant maintains suppliers (contact data, lead time, MOQ) and assigns items. From selected items the app generates, at the Merchant's request, a purchase order as a PDF with the Merchant's details; on request it e-mails the PDF to the supplier address given by the Merchant. E-mails are sent from a sender address of the Provider under the Merchant's name; the supplier's replies go to the e-mail address stored by the Merchant. The app does not conclude contracts with suppliers.
  4. The app writes no data to the Merchant's shop; it changes neither inventory nor prices. Goods receipt is only recorded in the app, the inventory booking in Shopify is done by the Merchant.
  5. The scope (number of monitored items, suppliers and purchase orders per 30 days – rolling from the time of creation, independent of the billing period –, e-mail sending) depends on the booked plan (section 8).

3. Merchant's responsibility

  1. Lead times, minimum order quantities, pack sizes, purchase prices and supplier data are the Merchant's data. The app does not check them for correctness or consistency with the conditions of the Merchant's suppliers.
  2. Order suggestions are based on past sales. Seasonal fluctuations, promotions, supply shortages or changed lead times are known to the app only as far as the Merchant reflects them in the settings. The Merchant checks every purchase order (quantities, prices, supplier) before sending it to the supplier.
  3. The Merchant is responsible for keeping inventory, purchase prices and SKUs of its products maintained in Shopify and for recording goods receipt in Shopify.
  4. The Merchant ensures that it may store the contact data of its suppliers and their contact persons in the app and use them for purchase orders; the Merchant bears the data protection legal basis towards these persons.

4. Liability

  1. The Provider is not liable for damage resulting from data entered by the Merchant (lead times, MOQs, purchase prices, supplier data) or Shopify data (inventory, orders) being incorrect, incomplete or out of date, or from the Merchant having placed a purchase order without the check under clause 3.2.
  2. Otherwise, in the case of slight negligence the Provider is liable only for breach of an essential contractual obligation (cardinal obligation), limited to the typical, foreseeable damage for this type of contract and at most to the fees paid by the Merchant for the app in the twelve months before the event causing the damage. Liability for indirect damage and lost profit is excluded in the case of slight negligence.
  3. The above limitations do not apply in the case of intent and gross negligence, injury to life, body or health, fraudulently concealed defects, assumption of a guarantee, or mandatory liability under the German Product Liability Act (Produkthaftungsgesetz).

5. Indemnification

The Merchant indemnifies the Provider against third-party claims (in particular from its suppliers and customers) that are based on purchase orders triggered and data stored by the Merchant, unless the Provider is responsible for them under clause 4.3.

6. Availability, updates and third parties

The app uses third-party services (including Shopify, hosting and e-mail delivery). Uninterrupted availability is not promised; the Merchant remains able to place purchase orders without the app. The Provider is liable for outages or changes of third-party services only in accordance with clause 4. The Provider keeps the app functional during the term of the contract and provides security and feature updates; it informs about material changes in the app.

7. Data processing

Through the Shopify API the app reads product variants, inventory and the line items of the orders of the last 90 days (item, quantity, date) – no customer data. The Provider processes this data on behalf of and on the instructions of the Merchant (Art. 28 GDPR) and stores only totals per item. The Data Processing Agreement (DPA) applies to this; it is concluded in electronic form with the acceptance of these terms (Art. 28(9) GDPR). The Privacy Policy applies in addition. The Merchant includes the use of the app in its own privacy policy.

8. Plans, trial period and billing

  1. Use of the app requires a subscription. Current plans per 30 days: Starter USD 19 (up to 100 items), Pro USD 39 (up to 1000 items), Business USD 89 (unlimited items). The exact scope of each plan (items, suppliers, purchase orders per rolling 30 days, e-mail sending) is shown on the “Plan” page in the app.
  2. Every plan starts with a free trial period of 14 days; the trial period is granted once per shop, no new trial period runs on a plan change or a re-installation. If the subscription is ended during the trial period or the app is uninstalled, no costs are incurred.
  3. Early-access offer: The first 50 people who join the waiting list on inventory.struxify.io before the app launches in the Shopify App Store and confirm their sign-up by email get the Pro plan for the first three billing periods after the free trial at the price of the Starter plan (USD 19 instead of USD 39 per period). The order of confirmation is decisive. The shop must install the app and choose Pro within 60 days of the launch notification; matching is based on the email or shop address given when signing up. The offer price appears in Shopify as a time-limited discount and is approved there. After that, the regular Pro price applies. Cancellation under clause 9 remains possible at any time during the offer. The offer applies once per shop, is not transferable and cannot be paid out in cash.
  4. Billing is handled exclusively via Shopify (Shopify Billing API) with the Merchant's Shopify invoice, in US dollars (Shopify converts to the Merchant's billing currency) and every 30 days. The Provider does not receive or store any payment data of the Merchant. The Provider is a small business owner under § 19 UStG (German VAT Act) – no VAT is charged; Shopify's billing terms apply in addition.
  5. Costs that Shopify charges the Merchant for its own services are not part of the app's plans.
  6. A plan change is possible at any time on the “Plan” page and takes effect immediately; Shopify handles the settlement. When switching to a smaller plan, features that exceed its scope are no longer available; stored data is retained. Price changes apply only to future billing periods and must be approved by the Merchant in Shopify.

9. Term, termination, data export and switching providers

  1. The contract runs for an indefinite period with no minimum term. The Merchant can terminate at any time – on the “Plan” page in the app or by uninstalling the app in Shopify. Termination takes effect immediately. If you cancel on the “Plan” page, Shopify credits the unused part of the current billing period pro rata; if you uninstall the app, the subscription ends immediately without a pro-rata credit. Without a subscription, sync, suggestions and purchase orders are no longer available. Upon uninstallation the shop's data is deleted (see Privacy Policy). The right of both parties to terminate for good cause remains unaffected.
  2. Data export and switching (Regulation (EU) 2023/2854 – Data Act, Art. 23 et seq.): the Merchant may at any time request to switch with its data to another provider or to its own environment, or to have its data erased. A message in text form to hello@struxify.io is sufficient; no notice period has to be observed. The Provider makes the exportable data available without undue delay, at the latest within 30 calendar days of the request, in a structured, commonly used and machine-readable format (suppliers, item mappings and purchase orders as CSV or JSON files), supports the switch to a reasonable extent, keeps the app available unchanged until the switch is completed and maintains data security throughout. The export file provided remains retrievable for at least 30 calendar days.
  3. Exportable data is all data the Merchant has brought in or that has been created through its use: settings, suppliers, the mapping per item (supplier, supplier item number, purchase price, MOQ, pack size, lead time), the calculated figures and all purchase orders – in each case as far as still available under the storage periods of the Privacy Policy. Internal data of the Provider whose disclosure would endanger security or trade secrets is not exported (access keys, server logs, internal identifiers). Products, inventory, customers and shop orders are held in the Merchant's Shopify account independently of the app.
  4. The export must be requested before uninstallation, because the Provider deletes the shop's data upon uninstallation in accordance with Shopify's requirements (clause 9.1). No fees are charged for export or switching. Information on the location of the infrastructure, the service providers used and the protection against access from third countries can be found in the Privacy Policy (clause 5) and in the DPA (clauses 5 and 6).

10. Acceptance and changes

Use of the app requires express acceptance of these terms in the app. The Provider may change the terms with effect for the future; changed terms must be confirmed again before further use.

11. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is, to the extent permitted by law, the Provider's registered place of business. The contract language is German; this English version is for information only. Should any provision be invalid, the validity of the remaining provisions remains unaffected. Questions about these terms: hello@struxify.io. Provider details: Legal notice / Imprint.
